Content Usage Agreement

By submitting or creating content for Nawlins Praline Candy LLC, you agree to the following terms:

1. License Grant: You grant Nawlins Praline Candy a perpetual, non-exclusive, royalty-free, worldwide license to use, modify, adapt, reproduce, distribute, and repurpose your content in any format or medium, including but not limited to social media posts, email campaigns, website content, and other digital or print materials, for marketing, advertising, promotional, or operational purposes.
2. Ownership & Rights: You represent and warrant that you are the sole owner of the content or otherwise have the full right and authority to grant the license described herein. You further represent that the content does not infringe on the rights of any third party.
3. Moral Rights Waiver: To the extent allowed by law, you waive any moral rights or similar rights in your content that may prevent or limit Nawlins Praline Candy’s use of the content as described in this agreement.
4. Release of Liability: You release Nawlins Praline Candy and its affiliates, officers, directors, employees, and agents from any claims, demands, or liabilities arising out of Nawlins Praline Candy’s use of your content in accordance with this agreement.
5. Indemnification: You agree to indemnify and hold harmless Nawlins Praline Candy against any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from a breach of your representations or warranties under this agreement, including claims of intellectual property infringement.
6. Acceptance of Terms: By submitting content, you acknowledge that you have read, understood, and agreed to this Content Submission Agreement.
